Terms of Service

1. Acceptance of Terms
By installing, accessing, or using SearchByte (“Service,” “App,” “we,” “our”), you (“Merchant,” “you,” “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not install or use the Service.
These Terms constitute a legally binding agreement between you and SearchByte. Use of the Service also constitutes acceptance of our Privacy Policy.
2. Description of Service
SearchByte provides AI-powered semantic and full-text search capabilities for eCommerce stores via a REST API. The Service includes product indexing, vector embedding generation, search API access, and an analytics dashboard.
We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice to active subscribers.
3. Eligibility and Account
To use SearchByte, you must operate a legitimate eCommerce store or platform. You are responsible for maintaining the security of your API credentials and for all activities that occur under your account.
4. Permitted Use
You may use the Service only for lawful purposes. You agree not to:
- Violate any applicable laws or regulations
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use the Service to index or search content that is illegal, harmful, or violates third-party rights
- Abuse or overload the Service infrastructure, including unauthorized scraping or excessive API calls
- Resell, sublicense, or otherwise transfer access to the Service without our written consent
5. Subscription and Billing
SearchByte offers subscription plans as described on our Pricing page. All billing is processed securely through Stripe. Subscription fees are charged at the beginning of each billing cycle.
Free plan limitations apply as specified at signup. Exceeding plan limits may result in throttling or an automatic upgrade prompt. We will provide advance notice before charging any additional fees.
6. Cancellation and Refunds
You may cancel your subscription at any time through your SearchByte account dashboard. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except where required by applicable law.
7. Intellectual Property
SearchByte and its underlying technology, including AI models, search algorithms, and software, are owned by SearchByte and protected by intellectual property laws.
You retain ownership of your store data. By using the Service, you grant SearchByte a limited license to process your data solely to provide and improve the Service.
8. Third-Party Platforms
SearchByte is an independent service and is not affiliated with, endorsed, or sponsored by Shopify, WooCommerce, Magento, or any other eCommerce platform. Your use of any third-party platform is governed by that platform's own terms and conditions.
9. Third-Party Services
The Service integrates with third-party AI providers (including OpenAI and Google) to generate search embeddings. Your use of these integrations is subject to those providers' terms of service. We select providers that meet high standards for data security and compliance.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEARCHBYTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless SearchByte and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
13. Changes to Terms
We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which SearchByte is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
